JOB SUMMARY
ESSENTIAL DUTIES AND RESPONSIBILITIES
This position is a legal generalist, primarily supporting corporate center functions. The essential functions of the job include, but are not limited to, support on the following:
- Provide corporate maintenance and corporate secretarial support to affiliated legal entities in the US and, with support from local counsel, around the world. Maintain corporate files, including minutes, resolutions, board and officer slates, and required governmental filings.
- Provide legal counsel to management on a wide range of issues including regulations and promotional matters, product liability, antitrust, privacy, employment, FCPA, ethics, compliance & other laws impacting the business.
- As needed, draft and negotiate commercial agreements, supply agreements, vendor agreements, consulting agreements, consortium agreements and confidentiality agreements. Ensure PSM is properly and adequately protected from legal risk and liability. Document approved deviations from company contract standards.
- Provide legal advice in a timely and cost-efficient manner.
- Management of (and assistance in) negotiating disputes and the drafting of settlement agreements.
- Protection of intellectual property and business strategies.
- Provide ongoing training seminars to employees on current, relevant legal and commercial issues.
- Support compliance program and provide guidance on statutory requirements applicable to company operations.
- Other duties as assigned.
MINIMUM REQUIREMENTS
Education & Training
- Juris Doctor, plus admission to and good standing in a state bar.
- Bar admission in the State of Florida preferred.
- Must complete EHS assigned regulatory training for work area as described by PSM’s EHS Training Matrix.
Skills/Experience
- Targeted at 10-15+ years of relevant legal experience; open to demonstrably qualified candidates below or above such range;
- Experience and training in corporate maintenance, corporate secretarial, and board service functions is a significant plus.
- Experience drafting, reviewing, and negotiating contracts.
- Transactional law practice, in a firm or as in-house counsel, is required.
- Ability to deal effectively with clients, including senior management.
- Ability to work as a team member, maintain project timelines, manage and prioritize multiple projects, and deliver commitments is a must.
- Excellent verbal and written communication and interpersonal skills are required, including ability to assess implications of proposed actions/arguments and respond appropriately to internal stakeholders and third parties.
- Individual must be a team player, must be self-motivated, must be able to demonstrate a history of successfully resolving challenging legal issues and must be able to effectively deliver sound and clear legal advice in a business setting.
- Excellent academic credentials from an ABA accredited law school.
- Strong leadership potential is a plus.
