Job Title: Director of Legal Affairs
Reports To: VP Business and Legal Affairs
The Director of Legal Affairs at Hedrick Brothers Construction is responsible for managing the company’s legal operations to mitigate risk, ensure compliance, and support strategic objectives. This role oversees contract negotiations, risk management, legal compliance, and provides counsel on key business decisions. The Director of Legal Affairs serves as a trusted advisor to senior leadership, ensuring the company’s legal and business affairs align with its goals and values while safeguarding its interests.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Oversee and manage all legal and contractual matters for the company, ensuring compliance with applicable laws, regulations, and industry standards.
- Draft, review, and negotiate contracts, including construction agreements, client agreements, vendor contracts, and other legal documents, to protect the company’s interests.
- Provide legal counsel to senior leadership on business decisions, regulatory requirements, and risk management strategies.
- Provide legal counsel to Human Resources department and senior leadership on employment law matters.
- Develop and implement strategies to mitigate legal and business risks across all company operations.
- Lead the resolution of legal disputes, including litigation, mediation, or arbitration, in collaboration with external counsel, when necessary.
- Establish and maintain policies and procedures to ensure ethical business practices and compliance with all regulatory requirements.
- Serve as a liaison with external legal advisors, ensuring efficient and cost-effective legal representation when required.
- Advise on corporate governance matters and support leadership with necessary legal and compliance documentation.
- Support business development efforts by conducting due diligence and structuring agreements for new opportunities and partnerships.
- Collaborate with project teams to address legal and contractual issues that may arise during project execution.
- Monitor changes in laws, regulations, and industry standards, ensuring the company remains informed and compliant.
- Oversee the management of insurance, bonding, and other risk management programs to protect the company’s assets and interests.
- Manage intellectual property matters, including trademarks, copyrights, and proprietary information, to safeguard the company’s brand and assets.
- Act as a strategic partner to leadership, providing insights and solutions to complex business and legal challenges.
- Develop and deliver training programs for employees to promote compliance, risk awareness, and understanding of legal responsibilities.
- Lead the company’s contract management system, ensuring proper documentation, tracking, and renewal processes.
- Foster relationships with clients, partners, and stakeholders to enhance trust and transparency in business dealings.
- Collaborate with the CEO and other executives to align legal and business strategies with the company’s overall mission and objectives.
- Represent the company at industry and legal forums, promoting its commitment to ethical practices and operational excellence.
EDUCATION AND EXPERIENCE REQUIREMENTS:
- Bachelor’s degree required
- Juris Doctor required
- 5 to 10 years of related experience and/or training
- Proficient knowledge of Microsoft Office required
- Experience with Document Crunch, Lexis Nexis (or the equivalent) and ProCore preferred
- Reliable transportation and a valid, Florida Driver License required
PHYSICAL DEMANDS:
- Ability to sit with back at a 90-degree angle for up to 8 hours per day.
- Ability to look at a computer for up to 8 hours per day.
- Full dexterity of wrists and fingers required with repetitive motions.
- Ability to occasionally lift, push, pull or carry up to 30 pounds.
- Ability to regularly lift, push, pull or carry up to 10 pounds.
- Ability to occasionally lift files, open filing cabinets and bend or stand on a stool as necessary.
